TERMS OF USE OF THE WEBSITE

This User Agreement (hereinafter referred to as the "Agreement", "Terms") regulates the legal relations arising from the use of the website gscoffee.cr (hereinafter referred to as the "Website") and defines the procedure for retail purchases of roasted coffee, terms of informational subscription, as well as the procedure for B2B interaction when ordering export lots of green and specialty raw materials between the company Second February Limitada (S.R.L., ID: 3-102-962172) (hereinafter referred to as the "Company") and any user or counterparty (hereinafter referred to as the "Client", "User").

The use of the Website, registration of a personal account, subscription to informational resources, and placing orders through the shopping cart signify the User's full and unconditional consent to these Terms.

1. LEGAL STATUS OF THE WEBSITE AND TYPES OF SERVICES

The Website is a commercial and logistics digital resource that executes operations:

  • In the B2C segment (Retail Sales): The sale of limited edition roasted coffee in original consumer packaging with "to-the-door" delivery executed by courier services.
  • In the B2B segment (International Export): The supply of lots of green and roasted coffee of the highest category (Specialty / Premium) from Costa Rica based on contracts, invoices, and international Incoterms rules (FOB/CIF).

2. ORDERING PROCEDURE, PRICING, AND NEWSLETTER SUBSCRIPTION

  • For retail orders (B2C): Prices in the online store are specified per unit of goods and are equivalent to the local cost of the product in Costa Rica. Payment is processed through integrated international payment gateways (PCI DSS standard). An order is considered accepted for execution after the funds are debited.
  • For export lots (B2B): Technical lot passports (SCA 85+ and above) and commercial roasting profiles are provided on the Website for informational purposes only. The final cost of the batch, drying schedules, and shipping timelines are fixed exclusively in the official invoice of the Company and the forward B2B contract.
  • Consent to informational newsletter: By registering on the Website, making a purchase, or filling out any feedback form, the User gives full consent to receive regular electronic notifications from the Company. Retail clients will receive data regarding package status, private sales, and new arrivals of roasted limited editions. B2B counterparties will receive notifications about the start of a new harvest, official ICAFE cupping results, availability of scarce micro-lots (including Geisha), and export container formation schedules. The User has the right to withdraw consent and fully opt out of the newsletter at any time by clicking the "Unsubscribe" link at the bottom of any email or by submitting a request to customer support.

3. PAYMENT TERMS AND TRADE SECRETS (B2B)

When executing wholesale B2B supplies, payment must be made via bank transfer (SWIFT/Wire Transfer) to the bank accounts of the Company in accordance with the payment schedule approved in the invoice. Delays in payment will cancel the reservation on the export micro-lot.
 The parties recognize the individual parameters of commercial transactions, including the final buyer prices, blend recipes, and roast profiles (Roast Profile Response), as trade secrets and confidential information.

4. SHIPPING, LOGISTICS, AND TRANSFER OF RISKS

  • Retail delivery: Executed by third-party licensed postal operators. The Company undertakes to hand over the goods to the delivery service in appropriate packaging but is not liable for cross-border delays caused by the actions of customs authorities in the destination country or force majeure circumstances.
  • Export supplies (B2B): The dispatch of coffee is executed directly from Costa Rica. The transfer of cargo damage risks and ownership rights from the Exporter to the Buyer is determined by the selected basis of delivery according to Incoterms 2020 (FOB Costa Rica) and is recorded in the bill of lading/waybill.

5. QUALITY GUARANTEES AND RETURN POLICY

The Company guarantees the authenticity of origin of each micro-lot from farming dynasties (Navarro / Monte Copey, Blanco-Jiménez). Each export batch undergoes mandatory laboratory control by Q-graders at the Coffee Institute of Costa Rica (ICAFE) and is accompanied by phytosanitary certificates.

  • B2C: The return of roasted coffee as a food product of appropriate quality is not provided for under international legislation. Claims regarding packaging defects are accepted within 14 days from the moment the package is delivered.
  • B2B: Claims regarding raw material defects (non-compliance of moisture level with the 10.8% benchmark or SHB grade) are accepted based on an official SCA cupping protocol prepared by a certified independent Q-grader before the cargo crosses the customs border of Costa Rica.

6. LIMITATION OF LIABILITY AND FORCE MAJEURE

The Company is not liable for any consequential losses of roasting facilities, loss of profit due to malfunctions in the counterparty's roasters, or for the spoilage of green coffee beans in the event of the Client's violation of warehouse storage rules (moisture protection). The parties are released from liability in the event of force majeure circumstances: natural disasters in Central America or changes in ICAFE/PROCOMER customs legislation.

7. APPLICABLE LAW AND DISPUTE RESOLUTION

All disputes, controversies, or claims arising from the use of the Website or in connection with the execution of export supplies shall be resolved through negotiations. If a consensus cannot be reached, the disputes shall be subject to consideration in the courts at the place of official registration of the legal entity Second February Limitada in the Republic of Costa Rica in accordance with the applicable commercial law of the country of origin of the goods.
